These Terms and Conditions ("Terms") govern your access to and use of the Cita hospital management platform ("Platform"), operated by Cita ("we", "us", or "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.
These Terms apply to all users of the Platform, including healthcare professionals, administrative staff, and any other authorized personnel ("Users").
2. Eligibility and Account Registration
To use Cita, you must:
- Be at least 18 years of age
- Be an authorized representative or employee of a registered healthcare organization
- Provide accurate, current, and complete information during registration
- Maintain the security and confidentiality of your login credentials
You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security.
3. Authorized Use
Cita grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform solely for the purpose of managing hospital and healthcare operations within your authorized organization. You agree to use the Platform only for its intended purposes, which include:
- Managing patient appointments and scheduling
- Recording and accessing patient information as authorized
- Managing healthcare staff, rooms, and resources
- Processing payments and generating reports
- Administering user accounts and permissions
4. Prohibited Activities
When using Cita, you agree NOT to:
- Access or use the Platform for any illegal or unauthorized purpose
- Share your login credentials with unauthorized individuals
- Attempt to gain unauthorized access to other user accounts, systems, or data
- Upload or transmit viruses, malware, or any harmful code
- Reverse engineer, decompile, or disassemble any part of the Platform
- Use the Platform to store or transmit information that violates patient privacy laws
- Scrape, data mine, or use automated tools to extract data from the Platform
- Interfere with or disrupt the integrity or performance of the Platform
- Use the Platform in any manner that could damage, disable, or impair our servers or networks
- Sublicense, resell, or redistribute access to the Platform
5. Patient Data and Healthcare Compliance
You acknowledge that Cita processes sensitive healthcare data. You agree to:
- Comply with all applicable healthcare data protection laws and regulations in your jurisdiction
- Access patient data only as necessary for your authorized role and responsibilities
- Not disclose patient information to unauthorized parties
- Report any data breach or suspected security incident immediately
- Ensure that your organization has obtained proper patient consent where required
Your healthcare organization remains the data controller for all patient data processed through Cita. We act as a data processor on behalf of your organization and process patient data solely in accordance with your instructions and our Privacy Policy.
6. Intellectual Property
The Platform, including all content, features, functionality, software, designs, text, graphics, logos, and trademarks, is owned by Cita and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform or its content without our prior written consent.
Any data you enter into the Platform remains the property of you and/or your healthcare organization.
7. Service Availability and Modifications
We strive to ensure the Platform is available 24/7; however, we do not guarantee uninterrupted or error-free operation. We reserve the right to:
- Perform scheduled and emergency maintenance, which may result in temporary downtime
- Modify, update, or discontinue features of the Platform with reasonable notice
- Suspend or terminate access to the Platform for any user who violates these Terms
We will make reasonable efforts to notify you in advance of any planned maintenance or significant changes to the Platform.
8. Fees and Payment
Access to Cita may be subject to subscription fees as agreed upon between your healthcare organization and Cita. Payment terms, pricing, and billing cycles are governed by the separate service agreement between your organization and Cita. Failure to pay applicable fees may result in suspension or termination of access to the Platform.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Cita and its officers, directors, employees, and agents shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, goodwill, or other intangible losses
- Any damages arising from unauthorized access to or alteration of your data
- Any interruption or cessation of service
- Clinical decisions made based on data within the Platform
Cita is a management tool and does not provide medical advice. All clinical decisions remain the sole responsibility of qualified healthcare professionals.
10. Disclaimer of Warranties
The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, secure, or error-free.
11. Termination
We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination:
- Your right to use the Platform will immediately cease
- We may delete or archive your account and associated data in accordance with our data retention policy
- Your organization may request export of its data within 30 days of termination
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Cita operates, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in that jurisdiction.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Platform after any changes constitutes acceptance of the revised Terms.
